Special Lecture on “Corporate Governance” held on October 24, 2017

Under the auspices of “Special Seminar Series”, a Special Lecture was delivered by Prof. J.P.Sharma, Director, IMS Ghaziabad, on “Corporate Governance”, on October 24, 2017. Prof. Sharma is quite instrumental in initiating “Special Seminar Series”, keeping in mind the creation of ambience of “Knowledge Dissemination “among IMSians.
In his opening remarks, Prof. Sharma told that topic like “Corporate Governance” was relatively unknown two decades ago. He further elaborated how three London based big corporate failed in 1991 and subsequently Sir Adrian Cadbury Committee was assigned to explore the causes and submit report. The UK Government adopted the report submitted by the Sir Adrian Committee in toto. While sharing his personnel experience Prof. Sharma also revealed how he was tempted towards research on “Corporate Governance”, during his first visit abroad to UK Europe. Later on he undertook self financed study tour to Andhra Pradesh (AP) in order to explore Satyam fiasco in 2009. In his view, one-third listed companies are managed by families. Infosys is a classic example of sound governance. Prof. Sharma further quoted Sir Adrian Cadbury for defining “Corporate Governance” – as the way the company is directed and controlled. He further discussed theories of CG- Agency Theory, Stakeholder Theory and Stewardship Theory. He asked on whose behalf the company is governed. To answer this, Solomon v/s Solomon was referred. He also highlighted models of Corporate Governance including single tier and two tier system and Independent Board. He also touched upon Global Codes- need for codes and standard and CSR. How India has become one of the first country to implement CSR, since it was implemented in April 01, 2014.

Such a pithy “Seminal Lecture”, delivered by Prof. J. P. Sharma , was indeed based on ‘facts and quality research’ inputs and it left an everlasting imprint on the minds of the audiences. In the presence of PGDM Chairperson- Dr. Tapan Kumar Nayak and distinguished faculty members, Chairperson for “Special Seminar”- Dr. S. K. Dube expressed vote of thanks to the Director, Prof. J. P.Sharma Sir, for his ‘insightful lecture’ and keeping the flame of “Knowledge sharing” alive in IMS.
